Terms of Service

1. Who operates the service

Watch Sale Prep (“the Service”) is operated by Vermilion Holdings LLC, an Arizona limited liability company (“Vermilion Holdings LLC,” “we,” “us,” or “our”). Contact us through the Support page unless we publish a monitored support or privacy email address here.

2. What the Service is

The Service helps sellers prepare watch listing materials. Based on information you provide, it generates AI-assisted draft titles and post bodies, optional images, review checklists, downloadable export packets, and timestamp-challenge records. The Service does not post listings to Reddit or any other platform on your behalf. The Service does not provide legal, tax, commercial, marketplace, authentication, appraisal, escrow, buyer-protection, fraud-prevention, or seller-verification services.

3. Eligibility

You must be at least the age of majority in your jurisdiction (and at least 18) to use the Service. The Service is not directed to children under 13 and you must not use it on behalf of anyone under 13.

4. Accounts and account responsibility

Sign-in uses magic-link email authentication. You are responsible for the security of the email account associated with your account and for all activity that occurs under your account. Notify us promptly if you believe your account has been used without your authorization.

5. Your content and listing accuracy

You retain ownership of the watch information, notes, photos, defaults, and other content you submit (“Your Content”). You are solely responsible for the accuracy, completeness, and legality of Your Content and of any listing you publish using output from the Service. You are responsible for reviewing all facts, disclosures, platform rules, sale terms, pricing, condition descriptions, and final posted content. You are the sole publisher and controller of any listing you post on Reddit, a marketplace, or anywhere else.

6. Licenses

You grant Vermilion Holdings LLC a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, modify, and process Your Content solely as necessary to operate, provide, secure, troubleshoot, and improve the Service for you and other users. We do not claim any right to use Your Content to train third-party AI models unless we have separately verified that practice with our vendors and stated it clearly in the Privacy Policy. You retain all rights you have in the generated outputs we deliver to you. You are responsible for ensuring you have the rights needed in any third-party material (including photographs, marks, and copyrighted text) you submit.

7. AI-generated drafts are draft-only

Drafts produced by the Service are AI-assisted and may be wrong, incomplete, misleading, or unsuitable for your situation. You must review every draft before posting or sending it. Drafts are not facts about the watch, the seller, the buyer, or any transaction. They do not constitute appraisal, authentication, valuation, financial, tax, or legal advice. You should not rely on drafts as the sole basis for pricing, authenticity claims, legal compliance, or platform acceptance.

8. No authentication, appraisal, escrow, or buyer protection

The Service does not authenticate watches, verify ownership, verify possession, verify condition, verify identity, detect image manipulation, hold funds, provide escrow, mediate disputes, or guarantee any transaction. The Service does not provide buyer protection, seller protection, or any insurance or warranty over a sale. You are responsible for your own due diligence.

9. Timestamp / challenge tool limitations

The timestamp / challenge tool only records and displays a Challenge ID, a required watch time, an issuance time, and an expiration or status. It does not verify the watch, the photo, the user, or any transaction. Challenge records are informational only. You agree not to treat a challenge record as proof of authenticity, ownership, possession, seller identity, condition, payment safety, or freedom from fraud. Stale or expired records must not be treated as current. Challenge records can be misused (for example alongside misleading photos); we have no duty to monitor listings, photos, or transactions between you and others.

Use of timestamp / challenge records within a paid account, export, packet, or subscription workflow does not mean Vermilion Holdings LLC has verified, reviewed, authenticated, certified, endorsed, guaranteed, insured, or protected any watch, seller, listing, photo, payment, or transaction. Paid access does not change the meaning of a challenge record.

10. Public share links and helper emails

You may choose to generate a private, time-limited share link for a listing packet, or have the Service email a packet link to a recipient you specify (“helper”). Anyone with a share link may view its contents until it expires or is revoked. Packet links are read-only draft materials for review and handoff; they are not verification, authentication, escrow, buyer protection, or fraud prevention. Helper emails are sent only because you initiated them; recipients may forward what they receive. Do not share or send links to people who should not see your listing materials.

11. Prohibited uses

You agree not to use the Service to prepare, support, or facilitate listings or content that are counterfeit, replica, super-clone, stolen, misrepresented, or otherwise illegal; to fabricate timestamps, ownership, condition, provenance, service history, box and papers, warranty status, or third-party endorsement; to impersonate another person or entity; to engage in fraud, harassment, deceptive pricing, spam, or platform-rule violations; to abuse the helper-email feature for unsolicited mail; or to attempt to probe, disrupt, scrape, or overload the Service.

We are not obligated to monitor Your Content or user conduct and may enforce these Terms reactively (for example after reports or abuse signals). If you believe someone is using the Service in connection with deceptive listings, contact us through the Support page with enough detail for us to evaluate.

12. Reddit and watch-brand non-affiliation

Watch Sale Prep is not affiliated with, endorsed by, sponsored by, or approved by Reddit Inc., r/Watchexchange, subreddit moderators, or any watch brand (including but not limited to Rolex, Tudor, Omega, Seiko, Cartier, Audemars Piguet, and Patek Philippe). All third-party names and trademarks are used for nominative descriptive identification only and remain the property of their respective owners. We use conservative language and do not claim registered trademark rights unless a mark is actually registered. The Service does not guarantee that any post will be accepted by any subreddit or marketplace.

13. Subscriptions, billing, and renewals

Paid plans are sold as monthly subscriptions and are processed by Stripe. Subscriptions renew automatically each billing period until you cancel in the Stripe Customer Portal. Your monthly listing-generation quota resets at the start of each UTC calendar month, which is independent of your Stripe billing date. Prices, quotas, and feature definitions are described on the Plans page.

Auto-renewal: By subscribing, you authorize recurring charges until you cancel. You can cancel before the next renewal date to avoid being charged for the next period. State auto-renewal and consumer laws may require additional disclosures or rights; our policy is to honor mandatory legal requirements and to align checkout and plan pages with how Stripe presents renewal and cancellation.

14. Cancellation

You can cancel a paid subscription at any time through the Stripe Customer Portal, linked from Billing. Cancellation stops future renewals; your paid access continues through the end of the then-current billing period.

15. Refunds

Subscriptions renew monthly until canceled. We generally do not offer partial-month refunds, except where required by law or where we choose to make an exception. See the Refund & Cancellation page for the full policy and how to contact support about billing.

16. Payment processor

Card payments are processed by Stripe, Inc. We do not store your full card number. Your payment information is governed by Stripe’s terms and privacy policy.

17. Service availability and changes

We provide the Service on a best-effort basis. We may modify, add, remove, or limit features, pricing, or plan entitlements at any time, effective when posted in the Service or otherwise indicated to you.

18. Suspension and termination

We may suspend or terminate your access for actual or suspected violation of these Terms, for abuse, fraud, payment failure or chargeback, or to comply with law or a legitimate third-party request. You may delete your account at any time from Account; deletion removes account data we control as described in our Privacy Policy.

19. Intellectual property

The Service itself — including the Watch Sale Prepname, software, workflows, site design, prompts, templates, and original content — is owned by or licensed to Vermilion Holdings LLC. Other names and trademarks referenced on the Service belong to their respective owners. No license to any third-party trademark is granted except as needed to describe the Service.

20. Feedback

If you voluntarily send us non-confidential feedback or suggestions about the Service that are not tied to confidential information of yours, you grant Vermilion Holdings LLC a perpetual, irrevocable, royalty-free, worldwide license to use that feedback to operate and improve the Service, without obligation to you. Please do not send confidential or proprietary ideas you expect us to keep secret or compensate.

21. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY AI-GENERATED DRAFT IS ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR USE OR PLATFORM.

22. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERMILION HOLDINGS LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THESE EXCLUSIONS OR LIMITS, IN WHICH CASE THEY APPLY ONLY TO THE EXTENT PERMITTED. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE WAIVED UNDER APPLICABLE LAW (FOR EXAMPLE, WILLFUL MISCONDUCT WHERE NON-WAIVABLE), OR YOUR OBLIGATION TO PAY FEES YOU OWE, OR YOUR INDEMNITY OBLIGATIONS BELOW, TO THE EXTENT ENFORCEABLE.

23. Indemnification

You will defend, indemnify, and hold harmless Vermilion Holdings LLCand its officers, members, employees, and agents from third-party claims, demands, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) Your Content or listings you publish or facilitate, (b) your misuse of the Service, or (c) your violation of these Terms or applicable law — in each case, only to the extent permitted by the law of your jurisdiction and subject to rights that cannot be waived by contract. We will provide reasonable notice of any claim we seek indemnity for and reasonable cooperation; you will not settle any claim that imposes a duty on us without our consent.

24. Governing law and venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws principles, except that consumer-protection rights of your home jurisdiction that cannot be waived will continue to apply. For disputes that belong in court, you and Vermilion Holdings LLC consent to the exclusive jurisdiction and venue of the state and federal courts located in Maricopa County, Arizona. We do not impose arbitration or class-action waiver clauses in these Terms unless and until a future version is reviewed with licensed counsel and expressly stated here.

25. Changes; entire agreement; contact

We may update these Terms from time to time by posting the revised version on this page and updating the “Last updated” date. Continued use of the Service after changes take effect constitutes acceptance. These Terms, together with the Privacy Policy and Refund & Cancellation page, are the entire agreement between you and Vermilion Holdings LLC regarding the Service.
